# Fleet Terms
Last updated 2026-10-23 · Version 2026-10-23
The agreement between BlinkFix and the delivery companies, and drivers working on their own, that deliver orders on BlinkFix.
The short version
- The customer pays once. At hand-over BlinkFix credits your wallet with the agreed delivery price less BlinkFix's 10%, and sends it to your own Stripe account.
- After hand-over your share is final. A refund or chargeback on the order never comes out of your share.
- On cash deliveries your driver keeps your price from the cash. The 10% you owe for them comes out of your wallet.
- A driver may be asked for a deposit on a company car. BlinkFix holds it. Damage is deducted. The rest goes back to the driver's wallet.
- You are an independent business. BlinkFix is not a carrier and does not employ your drivers.
1. The parties and these terms
1.1 These terms are between BlinkFix Ltd, registered in England and Wales (company no. 13505930), registered office 27 Old Gloucester Street, London WC1N 3AX, United Kingdom ("BlinkFix", "we"), and the delivery business that registers a Fleet on BlinkFix Enterprise ("you", the "Fleet"): a delivery company with drivers, or a driver working alone, which counts as a company of one. They are for businesses only.
1.2 Accepting. The owner of the Fleet taps Accept in BlinkFix Enterprise. We record the version, date and time. The tap is your electronic signature, and the owner confirms they may bind the Fleet.
1.3 Order of terms. If they conflict, this order decides: (1) the Data Processing Agreement, for personal data; (2) these Fleet Terms; (3) the Enterprise Terms, accepted at registration; (4) the Terms of Service and Community Guidelines for each Driver's own account. On the money of a delivery, these terms win. The Merchant Terms govern an establishment's own sales.
1.4 An establishment's own staff driver and a brand's own drivers are not a Fleet and pay no 10%. Your Drivers are not parties to these terms. A Driver's own agreement about a car deposit is section 3.7 of the Terms of Service (see 6.10).
2. Words we use
- Establishment: a restaurant, food truck, local cook or shop on BlinkFix that uses delivery companies. Customer: who ordered. Driver: a person who delivers for the Fleet.
- Agreed Price: the delivery price agreed under section 4, including any extra the Customer pays under 4.3.
- BlinkFix Fee: 10% of the Agreed Price. Fleet Share: the Agreed Price less the BlinkFix Fee.
- Hand-over: the Driver marks the order handed over in the app, with the Customer's four-digit code or, if the Driver cannot get it, the reason.
- Wallet: your Fleet wallet in BlinkFix Enterprise.
3. What BlinkFix provides
3.1 BlinkFix provides a marketplace and tools: the Fleet portal, offers, Driver screens, the delivery code, tips, statements and invoices, collection of the delivery charge from the Customer, payouts and the car deposit tool. BlinkFix is not a carrier. It does not deliver, employ or direct your Drivers, and promises no amount of work.
3.2 You deliver as a service to the establishment that sold the order. The Customer pays the delivery charge inside the order payment. BlinkFix receives it as the establishment's agent and pays it to you under section 5.
3.3 You are an independent contractor, not BlinkFix's employee, agent, partner or commercial agent, and cannot bind BlinkFix. You work at your own cost and risk. As far as the law allows, you give up any claim under a commercial agency law.
3.4 How you are chosen. An establishment offers delivery companies only if it has switched on "Use our drivers". The Customer picks a company at checkout, or BlinkFix does. BlinkFix's automatic choice ranks by rating, then distance from your base, then who was asked least recently. Price plays no part. You are offered only orders in your Fleet's currency.
3.5 Your plan. The owner buys a monthly plan only in the BlinkFix Enterprise app, through the App Store or Google Play. The store shows the price in your currency before you buy, and its terms apply (Subscriptions and Credits Terms). The first 14 days are free if the store offers them. Once we require a live plan (we tell you first), a Fleet without one gets no new offers; deliveries already agreed finish. Your Drivers pay nothing.
4. Offers and prices
4.1 The price starts as the delivery charge the Customer paid. If an order travels as several parcels, each parcel is offered an equal share of that charge. You may accept the price, make one counter-offer, or decline.
4.2 A counter-offer is at most your own price list (rate card) for that distance plus 30%. With no rate card for that distance, you can only accept or decline.
4.3 Only the Customer answers a counter-offer: the Customer accepts it or picks another company. If it is above what the Customer paid, the Customer pays the difference before a Driver is assigned; if the difference is too small to charge to a card, BlinkFix pays it. The establishment never pays it.
4.4 The Driver collects the order at the establishment and hands it over at the door with the Customer's code. For age-restricted goods the Driver checks ID as the law requires and does not hand over if the Customer cannot show valid ID or seems under age.
5. The money
5.1 One payment. The Customer pays once through Stripe (card, Apple Pay or Google Pay): the food, the delivery charge and BlinkFix's service fee (8% of the order value plus £0.50, in the Customer's currency). The establishment receives the food part less 4%. BlinkFix holds the delivery charge until Hand-over, because until then it is not certain who will deliver. Nothing is taken from the establishment's Stripe balance to pay you.
5.2 BlinkFix Fee. BlinkFix keeps 10% of the Agreed Price, rounded to the nearest smallest unit of the currency. It is never taken on food, packaging or tips. Apart from your plan, it is the only fee BlinkFix takes from your deliveries. Supplier goods you deliver are paid the same way: the buyer pays the delivery price with the goods.
5.3 Credited at hand-over. At Hand-over BlinkFix credits your Wallet with the Fleet Share and withholds the BlinkFix Fee. Fleets have no holding period, with one exception: if the Driver hands the order over without the Customer's code, the Fleet Share is held for 24 hours before it is paid out, and the establishment is told. A card order on which BlinkFix held no delivery charge (for example one accepted before BlinkFix held delivery charges at checkout) is not credited automatically: BlinkFix decides case by case how that delivery is paid and tells you.
5.4 Final and non-refundable.
(a) From Hand-over the Fleet Share and the BlinkFix Fee are final and not refundable. A refund or chargeback on the order, for any reason, never comes out of your share or the BlinkFix Fee. Who bears it between the establishment and BlinkFix is set in the Merchant Terms (sections 6.5 and 6.8). BlinkFix never takes back a share because of a refund or chargeback on the order.
(b) If the order is cancelled, or refunded in full, before Hand-over, the delivery is cancelled, the charge goes back to the Customer and no share is paid; your Driver can then no longer hand the order over. A part refund of the food does not reduce your share.
(c) If the order is cancelled after your Driver collected it but before Hand-over, the job is closed and no share is paid for it.
(d) If an establishment says you caused a refund, that is between you and it. We may share the evidence we hold.
5.5 Paying out. Subject to 5.3, 5.7, 5.9 and 5.10 (see 6.7), each Fleet Share is sent to your own Stripe account straight after Hand-over (normally within the hour), out of the delivery charge the Customer paid, and Stripe then pays your bank on your account's own schedule. You open the Stripe account through BlinkFix Enterprise, accept the Stripe Connected Account Agreement and let Stripe check your identity. A company of one is paid into its owner's own payout account, the one used for tips. Until your account is ready, your shares wait in your Wallet and are sent as soon as it is. If a payout cannot be completed, a person at BlinkFix checks it and tells you; the share stays yours in your Wallet meanwhile. If the payment of an order on which BlinkFix held the delivery charge can no longer fund your share, BlinkFix pays it from its own money, so you are not left unpaid for that delivery. BlinkFix bears Stripe's charges for your payout account. BlinkFix pays and invoices the Fleet only, never your Drivers.
5.6 Invoices and tax. BlinkFix issues an invoice for each BlinkFix Fee, marked paid because it was withheld. You find the invoices under Money in BlinkFix Enterprise. The 10% includes any VAT on BlinkFix's service; nothing is added on top. You are responsible for tax on your delivery service and for invoicing the establishment where the law requires. A Fleet in the USA gives BlinkFix or Stripe a W-9 or W-8 before its first payout.
5.7 Cash deliveries. For a cash order the Driver collects the cash, keeps your Agreed Price (less any part the Customer paid by card under 4.3) and hands the rest to the establishment, which taps "Cash received" (or BlinkFix marks it received after 24 hours). You owe BlinkFix 10% of the Agreed Price, invoiced to you. What you owe is taken from your Wallet when your next Fleet Share is credited, before that share is paid out, and once a day from whatever else is in your Wallet. Money already on its way to your Stripe account is never taken. You can also pay by card in the Fleet portal. If you owe more than your Wallet covers, we warn you 3 days before a block. After 7 days of that you get no new offers until you pay, but deliveries already with a Driver finish.
5.8 Tips. A tip goes to the Driver's own wallet, never to the Fleet, less a 5% tip service fee. Every tip is held for 7 days after the Customer pays it; if the order is refunded before then, the tip goes back to the Customer. You must not keep a Driver's tips.
5.9 Currency. Offers, shares and payouts are in the currency of the order, which is your Fleet's currency. Shares are paid out only to a payout account in that currency: if your payout account is in another currency, your shares stay in your Wallet until that is put right with BlinkFix (write to [email protected]). You can change your Fleet's currency or country only when nothing is open: no money in your Wallet, nothing owed to BlinkFix for cash deliveries or a deposit claim, no payout or deposit claim payment on its way, and no delivery in progress. Converted amounts use the European Central Bank reference rates, and the currency charged is always stated.
5.10 Set-off and partners. BlinkFix may deduct what you owe under these terms from your Wallet, including the 10% on cash deliveries and a deposit claim that was paid to you and later taken back by the Driver's card issuer (6.7). If a Channel Partner introduced you, BlinkFix pays the partner a share of its own income. That changes nothing you pay or receive, and the partner sees only the clients they signed.
5.11 Tax reporting. Where the law requires it (in the EU, Council Directive (EU) 2021/514, known as DAC7, and in the UK the Platform Operators (Due Diligence and Reporting Requirements) Regulations 2023), BlinkFix collects and checks information about you and what you were paid through BlinkFix, and reports it to the tax authority once a year. We give you a copy of what we report. If you do not give us information we must collect after we have reminded you, we may hold back your payouts or end these terms, as those rules require.
5.12 We may change the BlinkFix Fee only under section 12.
6. The car deposit
6.1 A Fleet may ask one of its Drivers for a deposit on a company car. BlinkFix holds it for the Fleet and the Driver, so neither can take it unfairly. It is not BlinkFix's money: it is kept in its own ledger, earns no interest and carries no fee.
6.2 You name the car and the amount: at least the smallest amount a card can be charged, at most GBP 500 or its equivalent in your currency (at the day's rate, rounded down). A Driver can have one open deposit with you, and has 24 hours to pay; after that the request runs out and you may ask again. Before you ask, show the Driver this section.
6.3 The Driver pays by card in the BlinkFix app, through Stripe. BlinkFix holds the money. You cannot touch it.
6.4 When the car is back (the Driver taps "Return the car" or you tap "Car returned") you have 7 days to claim damage. No claim: the whole deposit is returned to the Driver's BlinkFix wallet automatically, in the currency of the deposit, and nothing of it is paid to you.
6.5 You may claim once: an amount up to the deposit, one to six photos and a note. The Driver has 7 days to accept or contest. Accepted: the claimed amount is paid to you and the rest goes to the Driver. Contested or unanswered: BlinkFix decides. Silence never gives you the money.
6.6 A senior member of BlinkFix's staff reads both sides, awards you anything from nothing up to the claim, gives the rest to the Driver, and tells you both why. That settles the deposit only. Either of you may claim other loss in court, and a court's order comes before BlinkFix's decision. An amount awarded to you is paid to your own Stripe account out of the Driver's card payment; it is not paid while that card payment is disputed or refunded.
6.7 If the Driver's card payment is disputed or refunded. Before the deposit is settled, it freezes: nothing is claimed, answered or paid until BlinkFix looks, and frozen days do not count against any 7 days. If the dispute is decided in BlinkFix's favour, the deposit goes on. A dispute lost for all or part of the amount, or a full refund, closes the deposit: the card issuer gave the money back to the Driver, so nobody is paid from it, and wallet credits for it are reversed. If a claim was already paid to you, it is taken back from your Stripe account. What cannot be taken back from there you owe BlinkFix: it is kept from the Fleet Shares credited to you after that until it is repaid, and you are told each time (see 5.10).
6.8 The Driver's part. The Driver's part is credited to the Driver's BlinkFix wallet, in the currency of the deposit. It is not sent to the Driver's card or bank directly, and the Driver needs no payout account for it to be returned. It can be paid out 14 days after it is credited (the time in which the card issuer can still dispute the payment), under the normal wallet rules. A card dispute opened in those 14 days keeps it held until the issuer decides: if the issuer gives the money back to the Driver, or the payment is refunded in full, the held credit is cancelled; if not, the hold ends. If the issuer gives the money back after the Driver has paid the credit out, it is taken back from the Driver's wallet, which can go below zero until what the Driver next earns makes it good.
6.9 You may ask for a deposit only where your country's law lets you ask that Driver, may use it only for damage to that car, must not take a deposit for the same car from the Driver in any other way, and make no other deduction. If you ask unlawfully, you refund the Driver and pay BlinkFix's costs. BlinkFix is not responsible for the car.
6.10 The Driver's side. A Driver is not a party to these terms. The Driver's own agreement with BlinkFix about a deposit is section 3.7 of the Terms of Service, which the Driver accepts by paying the deposit. You must also show the Driver this section 6 before you ask for a deposit.
7. Your duties
7.1 You hold every licence, permit and registration your country requires to deliver food, and the insurance it requires for your Drivers, vehicles, goods in transit and liability to others. Keep the papers uploaded and current.
7.2 Your Drivers are yours, never BlinkFix's workers. You are responsible for their status, pay, working time, tax, training and conduct, for checking their right to work and to drive, and for the checks your law requires. BlinkFix checks none of these.
7.3 You are responsible for the goods from collection to Hand-over and for harm caused by you or your Drivers. Never mark an order handed over unless it was delivered. You and your Drivers follow the Community Guidelines.
8. Data and privacy
8.1 BlinkFix is the controller of BlinkFix accounts, orders, payments, deliveries and deposits, as the Privacy Policy explains. BlinkFix is also the controller of its own check of the papers you upload to be approved.
8.2 For the data you put into BlinkFix Enterprise about your Drivers (names, contacts, papers, shifts), you are the controller and BlinkFix your processor under the Data Processing Agreement. You need a lawful basis and must tell your Drivers.
8.3 A Customer's details are shown to you only to make the delivery. Use them for nothing else, do not keep them afterwards except where the law requires, and do not contact the Customer otherwise. Deposit photos and notes are seen by you, the Driver and BlinkFix staff.
9. Term, suspension and leaving
9.1 These terms continue until ended. You may end them any time by writing to [email protected], after finishing deliveries in progress. BlinkFix may end them with 30 days' notice, or at once for serious breach, fraud, a risk to people, or a legal requirement.
9.2 We may suspend a Fleet if a paper is false or out of date, for safety incidents, repeated complaints or fraud, for debt under 5.7, or if the law requires. We give reasons, and you may ask for a review by e-mail.
9.3 Money when you leave. Nothing you have earned is forfeited. Shares already credited stay yours and are paid out. What you owe is set off. A deposit continues under section 6. Ending these terms does not cancel a store plan; cancel it in the store. Sections 5.4, 5.10, 5.11, 6, 8, 9.3, 10 and 11 continue.
10. Our responsibility
10.1 Nothing limits liability for death or personal injury caused by negligence, for fraud, or for anything the law does not allow us to limit.
10.2 Subject to 10.1, BlinkFix is not liable for loss of profit, revenue, business or goodwill, or for indirect or consequential loss. Its total liability in any 12 months is limited to the greater of the BlinkFix Fees it took from you in that period and £5,000. The cap does not limit BlinkFix's duty to pay out money it holds for you (Wallet, deposit). BlinkFix is not responsible for the goods, the cars, what an establishment or Customer does, or the amount of work.
10.3 You compensate BlinkFix for claims, fines and reasonable costs arising from your or your Drivers' acts, including your Drivers' claims, as far as the law allows.
11. Law, courts and complaints
11.1 English law governs these terms and any dispute, including non-contractual ones. The courts of England and Wales have exclusive jurisdiction wherever your Fleet is established. There is no arbitration and no class-action term. Either of us may ask any court to enforce a judgment or grant interim relief. You agree that court papers may be served on you by e-mail to the owners' addresses.
11.2 By region. The same law and courts apply to Fleets in the EU and the European Economic Area, the United Arab Emirates and the United States. A right your law gives you that cannot be waived by contract stays, as far as the law requires, and the rest of these terms stays in force. Under the EU Platform-to-Business Regulation we give reasons for suspension (9.2), disclose ranking (3.4), give 30 days' notice of changes (section 12), and name mediators on request. You are not our agent or distributor (3.3).
11.3 Complaints and notices. Write to [email protected] with the subject "Fleet complaint". We acknowledge within 5 working days and aim to resolve within 30 days. Notices to us go to the same address; notices to you go to the owners' e-mail addresses and the app.
11.4 If part of these terms is invalid, the rest stays. A right we do not enforce at once we can enforce later. Nobody else can enforce them.
12. Changes to these terms and to the fee
We give at least 30 days' notice of changes that affect you, including a change to the BlinkFix Fee, by e-mail and in the app, unless the law or a safety risk needs it sooner. We ask you to accept the new version when it takes effect. If you do not agree, you may end these terms before then. A change never applies to a delivery already agreed.
