1. The agreement
1.1 These Enterprise Terms are a contract between BlinkFix Ltd, a company registered in England and Wales (company no. 13505930), registered office 27 Old Gloucester Street, London WC1N 3AX, United Kingdom ("BlinkFix", "we"), and the organisation that uses BlinkFix Enterprise (the "Customer", "you"). The Customer can be a head office (an organisation of establishments), a supplier, or a delivery company (including a driver who works on their own). A channel partner has its own Channel Partner Terms.
1.2 Acceptance. An admin of your organisation accepts these terms and the Data Processing Agreement (DPA) for the Customer by ticking the box in BlinkFix Enterprise (or by signing an order form that refers to them). For a supplier or a delivery company, the owner of the account accepts when registering. The person who accepts confirms they are authorised to bind the Customer. We record who accepted, when and which version. A tick or tap is an electronic signature and binds the Customer without a handwritten signature.
1.3 Order of precedence. (1) A signed order form or written Enterprise agreement. (2) The DPA, for personal data. (3) For a delivery company, the Fleet Terms, for its deliveries. (4) These Enterprise Terms (for a supplier, section 16 first). (5) The Terms of Service and Community Guidelines, for individual users' use of their own BlinkFix accounts. The Merchant Terms continue to apply to each establishment's own sales to customers.
1.4 These terms are for businesses only. The Customer confirms it is acting for the purposes of its trade, business or profession.
2. The service
2.1 BlinkFix Enterprise ("Enterprise") is the BlinkFix Enterprise app for iPhone and Android and the website enterprise.blinkfix.me. For a head office, it lets you manage an organisation of establishments: organisation tree and regions, seats and roles, establishments (company-owned, franchise or contact), menus and menu proposals, price requests, supplies, franchise fees and marketing fund figures, campaigns, documents and acceptances, chat and broadcasts, staff and working hours, your own drivers, bonuses, sales and reports, the AI assistant, integrations, API keys and webhooks, brand skins, invoices and notifications. For a supplier, it is a portal for products, orders, deliveries and invoices. For a delivery company, it is a portal for offers, deliveries, drivers, the company's wallet, car deposits and invoices. The Enterprise app also has a part for channel partners, which the Channel Partner Terms govern.
2.2 We provide Enterprise with reasonable skill and care, and aim for it to be available at all times except for planned maintenance (announced in advance where possible) and events beyond our reasonable control. Any service level is set in your order form.
2.3 We may improve and change Enterprise. We will not materially reduce the core functionality of a paid service during a paid period without giving you at least 30 days' notice and the right to end the affected service with a pro-rata refund.
2.4 Support. Every seat holder can raise a request in the app; we answer in the app and by email. Premium support is included in the head office subscription: we switch it on for your organisation, and it adds live chat inside a request, a video call with screen sharing, priority in the queue and a named account manager. Premium support is not sold separately.
3. Seats, admins and work email
3.1 Your admins decide who gets a seat, with which role (admin or view-only), title and regions. Each seat is for one named person with a BlinkFix account and must be removed when that person leaves. Self-join. Unless your admins switch it off, a person with a verified work email on one of your approved domains can join your organisation by themselves, with a view-only seat. Each such seat counts in your bill under 9.2A. You can switch self-join off, and remove any seat, at any time.
3.2 Work email. Seats are tied to a verified company email address on your organisation's approved domains. Free and personal email providers are not accepted. BlinkFix may grant a documented exception.
3.3 You are responsible for the acts and omissions of your seat holders in Enterprise, for keeping sign-in details secure, and for telling us promptly of any unauthorised access.
3.4 Seat holders must be 18 or older and must follow the Terms of Service and the Community Guidelines.
4. Establishments in your organisation
4.1 How establishments join. An establishment that you find on BlinkFix joins your organisation at once when you add it, and its owner is told. An owner you invite by email who is not yet on BlinkFix agrees first, when they sign up, before anything is shared. You choose the level when you add it (company-owned, franchise or contact). A change of level needs the agreement of both sides.
4.2 Franchise establishments accept or decline menu proposals, campaigns and documents themselves, and their employees are not shown to head office. An establishment can leave the organisation in the BlinkFix app, subject to any contract it has with you. You cannot remove an establishment yourself: you ask us in Enterprise, and we confirm with the establishment's owner before it is removed.
4.3 You only invite establishments and people you have a business relationship with.
4.4 Stickers. We ask every establishment to show the BlinkFix stickers on its window and at its till and to send a photo of them in the BlinkFix app; head office sends it for company-owned establishments and a franchisee sends its own. We check the photo and may remind you and the establishment. Not showing the stickers has no other consequence under these terms.
4.5 If a channel partner introduced you. A channel partner is independent of BlinkFix. It cannot make promises for BlinkFix, change your price or accept terms for you. BlinkFix pays the partner a share of its own income from your fees; that does not change what you pay. The partner sees only the name of your organisation, how many establishments you have, and its own statements. It does not see your orders, customers, staff or other private data. The partner may write to your head office admins, and to the owners and managers of establishments it introduced. You can block the partner at any time.
5. Your data and your responsibilities
5.1 Customer Data means the data your organisation and seat holders put into Enterprise, or that Enterprise holds for your organisation (for example staff names and contact details, working hours, bonuses, messages, files, contacts, imports and the organisation's sales data). You own Customer Data.
5.2 Personal data. For personal data in Customer Data, you are the controller and BlinkFix is your processor. The Data Processing Agreement forms part of these terms and governs that processing. You must have a lawful basis for the data you put into Enterprise and give the people concerned the information the law requires (for example a staff privacy notice).
5.3 Employment and tax. You are responsible for your employees and for the tax, payroll and social security treatment of bonuses, and for checking working-time records. BlinkFix is not an employer, payroll bureau or tax adviser.
5.4 Figures are aids. Franchise fees, marketing fund amounts, VAT, sales and accounting exports are calculated from the data in BlinkFix to help you. Check them before you rely on them. BlinkFix does not collect franchise fees for you.
5.5 Our data. BlinkFix is the controller of the BlinkFix accounts of seat holders, of customers' orders and payments on BlinkFix, of deliveries, supplier orders and car deposits, of wallets, payouts and statements, and of usage and billing data, as described in the Privacy Policy. We may use aggregated, anonymised data that does not identify you, your establishments or any person to run and improve BlinkFix.
6. Integrations, API keys and webhooks
6.1 Enterprise and the establishments in your organisation can connect third-party systems (for example HubSpot, Pipedrive, Salesforce, Square, Clover, Xero, QuickBooks), create API keys and register webhooks. Data sent to those systems leaves BlinkFix at your instruction; the third party's own terms apply to it, and you are responsible for your use of it.
6.2 API keys are secret. Keep them secure, give them only the scopes you need, rotate them if they may have been exposed, and revoke unused keys. You are responsible for all use of your keys.
6.3 Webhooks are sent to the URLs you register and are signed so you can check they come from BlinkFix. Only register endpoints you control, served over HTTPS. We may pause a webhook that keeps failing.
6.4 Customer contact sync. If you or an establishment switch on sending customers' names, emails and phone numbers to a CRM, you are the controller for that data in the CRM and responsible for having a lawful basis and informing customers.
6.5 Use of the public API is subject to rate limits and the API documentation. You must not use the API to scrape BlinkFix, to get round access controls, or to build a competing marketplace.
7. Chat, content and conduct
7.1 There is zero tolerance for objectionable content and abuse in chats, broadcasts, documents, menus and files. The Community Guidelines apply.
7.2 Every message can be reported; we review reports within 24 hours. Staff of a company-owned establishment cannot block their own head office, but can mute it and report any message. Reports about head office are reviewed by BlinkFix, not by the organisation. We tell your admins when we act on your organisation's content.
7.3 BlinkFix staff do not read your organisation's chats except to handle a report, investigate abuse or a security incident, comply with the law, or where you ask us to (for support). Such access is logged.
8. AI assistant and AI credits
8.1 The AI assistant and brand skin generator are optional. Each seat holder consents before first use. They work with the seat's own access and confirm every change. The AI Terms and Disclosure apply.
8.2 Using the assistant, or importing a menu or product list, sends the data it needs to our AI provider (Google Gemini, through Google Cloud's Vertex AI, on the paid tier, with no training on your data). It is a sub-processor listed in the Sub-processors list. You can ask us to switch AI features off for your organisation.
8.3 AI credits are bought by an admin on enterprise.blinkfix.me by card, or in the Enterprise app through the App Store or Google Play, and are held in your organisation's balance. Purchases on the website are invoiced for each purchase. A purchase through a store is made under the store's terms, and the store deals with refunds of its charges. AI credits have no cash value, do not expire while your organisation is active, and are not refunded once used, unless your order form says otherwise.
9. Fees, invoices and payment
9.1 Fees for the head office subscription and other Enterprise services are set in your order form or shown before you buy. Fees are in pounds sterling; where we offer your own currency, the price is converted at the European Central Bank rate on the day you buy and stays the same for as long as the subscription runs. Fees, commissions and service fees exclude VAT, which is added where the law requires it and shown on the invoice (reverse charge where applicable to businesses outside the UK). Unless your order form says otherwise, invoices other than the subscription invoice are payable within 30 days.
9.2 How you pay the head office subscription. You may pay by card or by bank transfer. By card, we charge you automatically each month. By bank transfer, we send an invoice each month with the bank details, and it is due within 14 days. There is no other way to pay it.
9.2A What the head office subscription includes. One subscription is bought for each brand account, by an admin of the brand on enterprise.blinkfix.me. It is not sold in the apps, and the Enterprise app only shows its state. It is billed monthly in advance and has three parts: a panel fee, a fee for each establishment in your bill, and a fee for each seat beyond your own (your own seat is included). Establishments set to "contact" are not counted. At the date of these terms the amounts are £1,000 a month for the panel, £10 for each establishment and £20 for each extra seat, plus the service fee in 9.2B and VAT where it applies; the amounts that apply to you are shown before you buy and in your order form. The first 14 days are free. If you chose to pay by card and no card is on file when the free days end, the subscription ends. We count establishments and seats once a day. An establishment or seat added during a month is billed from the next month; one removed during a month is not credited. Premium support is included (see 2.4).
9.2B Service fee. We add a service fee to the head office subscription: 5% of the subscription amount (the panel fee, the establishments and the extra seats), and 2% if you pay by bank transfer. It is shown as a separate line before you pay and again on the invoice. If you pay by bank transfer, and the invoice is in a currency that is neither euro nor US dollar and is not the currency of your country, we also add a currency conversion fee of 1%.
9.2C Switching it off. An admin can switch the brand off on enterprise.blinkfix.me. The subscription then runs to the end of the period you have paid for, and can be switched back on until then.
9.3 Bonuses. Where bonus payouts are switched on, an admin can pay staff bonuses by card on enterprise.blinkfix.me. The payment is processed by Stripe and paid to the employee's BlinkFix wallet. You remain responsible for payroll treatment. Otherwise bonuses are only recorded.
9.4 If an undisputed invoice is more than 14 days overdue after a reminder, we may suspend paid features until it is paid. We may charge statutory interest on late payments under the Late Payment of Commercial Debts (Interest) Act 1998.
9.5 We may change our list prices with at least 60 days' notice; changes apply from your next renewal or billing period, and never during a committed term in your order form.
9.6 Plans for suppliers and delivery companies. A supplier and a delivery company each pay a monthly plan; a driver who works on their own pays the driver plan. The owner of the account buys, changes or ends the plan in the Enterprise app, through the App Store or Google Play. The store bills you, shows you the price before you buy, and its terms apply, including for renewal, cancellation and refunds, as in the Subscriptions and Credits Terms. The first 14 days are the store's free offer, where the store gives it. We may require a live plan before you are shown to establishments or offered work; we tell you before we start to require it. A delivery company's drivers pay nothing.
9.7 Paying for your establishments' own plans (cover). While your subscription is paid, each establishment in your bill is covered: BlinkFix does not charge the owner of a covered establishment for its own BlinkFix plan, by card or through a store, and the owner's own plan is paused on our side. If the owner has a store subscription, the owner is told once, and only the owner can cancel it in the store. The cover does not start during your 14 free days or a free grant. It ends when the establishment leaves your bill (you ask us to remove it, or set it to "contact"), or moves to another head office that does not pay for it; the owner's own plan then starts again if it still runs, and if not the owner is asked to choose a plan. If your subscription ends or is not paid, the head office panel is paused, but the cover does not end by itself and the owner is not charged. If your subscription has ended, or an invoice is still unpaid after the reminder in 9.4, we may take your establishments off your bill after telling you and their owners.
9.8 Your own drivers. Deliveries by your own drivers (a brand's internal fleet) carry no delivery fee and need no plan; they are covered by your subscription. A delivery company that is independent of you pays the fees in the Fleet Terms.
9.9 Wallets and payouts. Money that BlinkFix owes you, for example a delivery company's share of deliveries, is shown in your BlinkFix wallet and paid out to your bank account through Stripe. To receive payouts you open a Stripe account through BlinkFix, accept Stripe's Connected Account Agreement and pass Stripe's checks. Stripe pays out on its own schedule. BlinkFix deals with the company, not with its drivers, and how a company pays its drivers is its own business. We may set off what you owe BlinkFix against what BlinkFix owes you.
10. Term and ending
10.1 These terms start when accepted and continue until ended. A committed term in your order form renews for the same period unless either side gives notice before the end of the term as set out in the order form, or otherwise with 30 days' notice.
10.2 Either side may end these terms by written notice if the other seriously breaches them and does not fix the breach within 30 days of being asked, or becomes insolvent.
10.3 We may suspend a seat or the organisation immediately if needed to prevent harm, abuse, fraud or a security incident, or to comply with the law, and will tell your admins why where the law allows.
10.4 On ending, admins can export Customer Data for 30 days. After that we delete or anonymise Customer Data within a further 30 days, except where the law requires us to keep it (for example invoices), as set out in the DPA. Establishments' own BlinkFix accounts, orders and listings continue under the Merchant Terms and are not deleted because your organisation left. Money that BlinkFix owes you for deliveries, orders or deposits completed before the agreement ended is paid as in 9.9, less what you owe BlinkFix.
11. Confidentiality
Each side keeps the other's confidential information (including Customer Data, pricing and non-public business information) confidential, uses it only for this agreement, and shares it only with staff, advisers and subcontractors who need it and are bound by confidentiality, or where the law requires. This continues for 5 years after the agreement ends (indefinitely for personal data and trade secrets).
12. Intellectual property
12.1 BlinkFix owns Enterprise, the BlinkFix apps and websites, and all improvements. We give you a non-exclusive, non-transferable right for your seat holders to use Enterprise for your internal business during the agreement.
12.2 You own Customer Data and your brand. You give BlinkFix the licence needed to host, process and display them to provide the service, including brand assets in brand skins and on establishments' pages as your settings allow.
12.3 If you give us feedback, we may use it without obligation.
13. Warranties and liability
13.1 Each side confirms it has the power to enter into this agreement.
13.2 Nothing in these terms limits or excludes liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for anything else that cannot be limited by law.
13.3 Subject to 13.2, neither side is liable for loss of profit, revenue, business, goodwill or anticipated savings, or for indirect or consequential loss.
13.4 Subject to 13.2, each side's total liability under or in connection with this agreement in any 12 months is limited to the greater of (a) the fees paid and payable by the Customer to BlinkFix in that period and (b) £5,000. This cap does not apply to the Customer's obligation to pay fees, or to money that BlinkFix has collected for you and owes you under these terms or the Fleet Terms (that is a debt, not a loss), or to either side's liability under the DPA, which is limited to the greater of three times that amount and £50,000.
13.5 Except as set out in these terms, Enterprise is provided "as is" and all other warranties are excluded to the extent the law allows.
14. General
14.1 Neither side may assign this agreement without the other's consent, except BlinkFix to a group company or to a buyer of its business, with notice.
14.2 Neither side is liable for delay caused by events beyond its reasonable control.
14.3 Notices to BlinkFix go to [email protected]. Notices to you go to your admins' work email addresses (for a supplier or a delivery company, the account owner's email address) and appear in the Enterprise app. A notice sent by email or shown in the app is received on the next working day.
14.4 These terms are the whole agreement on their subject together with the documents in 1.3. No third party has rights under them, except as stated in the Terms of Service for Apple.
14.5 We may update these terms with at least 30 days' notice to your admins; changes that materially reduce your rights do not apply during a committed term without your agreement.
14.6 These terms and any dispute or claim (including non-contractual ones) are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction, for every Customer wherever it is established. Nothing stops either side from asking the courts of any other country to enforce a judgment or order of the courts of England and Wales, or to grant urgent relief. If a mandatory law of the Customer's country gives it a right that cannot be waived by contract, that right applies only as far as the law requires, and the rest of these terms stays in force.
14.7 If a court decides that part of these terms is invalid, the rest stays in force. If we do not enforce a right straight away, we can still enforce it later.
14.8 Electronic acceptance. We may give notices, invoices and updated terms electronically. Acceptance by a tick or a tap in the app or on the website is an electronic signature and is as binding as a handwritten one.
14.9 Sanctions and the law. You confirm that neither you nor your owners are subject to sanctions of the United Kingdom, the European Union, the United Nations or the United States, and that you will not use Enterprise for anything those sanctions or any other law forbid. We may suspend an account at once to comply with the law.
14.10 These terms are available in English, which is the binding version. A translation is for convenience.
15. Apple and Google
The Enterprise app is provided by BlinkFix, not Apple or Google. Section 15 of the Terms of Service applies to seat holders' use of the app.
16. Suppliers
This section applies to a Customer that registers as a supplier ("Supplier") and comes before the rest of these terms for that business.
16.1 What BlinkFix does. BlinkFix provides the Supplier portal; a catalogue in which establishments find your products in the BlinkFix app and on blinkfix.me (Work › More: Supplies shop, Fresh food and Wholesale); a basket and payment; orders sent to you once they are paid; delivery by a delivery company on BlinkFix where one is available; invoices; and payment to you. BlinkFix promises no number of orders and may hide or remove a product that breaks these terms. You are an independent business and cannot bind BlinkFix.
16.2 Approval. A new Supplier waits for BlinkFix to review it, and its products are sold only while it is approved. We may reject, pause or suspend a Supplier, with a reason. The owner and the staff it adds have their own logins, and you are responsible for them.
16.3 Products and prices. You list your products (name, category, unit, minimum order, lead times and the countries you deliver to). You do not set the price an establishment pays: BlinkFix agrees with you, for each product and currency, the amount it pays you for one unit (the "Agreed Rate"), and sets the price at which establishments buy. A product with no Agreed Rate is not for sale. The Agreed Rate of an order is fixed when the order is paid; a change applies only to later orders.
16.4 Orders and delivery. An establishment pays BlinkFix for the whole basket before you see the order. You accept the order or tell us in the app that you cannot make it. Where a delivery company on BlinkFix covers both you and the delivery address, a driver collects the goods from you and the establishment pays the company's price as a separate line; otherwise you ship with your own carrier at no extra charge to the establishment, and add the tracking details if there are any. For printed table codes, BlinkFix prepares the artwork and you print exactly what it shows and keep no copy.
16.5 Your goods. You supply what was ordered, as described, safe, in good condition and on time; you meet the food safety, hygiene, labelling, allergen, product safety and packaging rules of the countries you sell to; you hold the licences, registrations and insurance your country requires; and you tell BlinkFix and the establishment at once about any recall or safety problem.
16.6 Money. The establishment pays BlinkFix the price of the goods, any delivery line, and a service fee of 8% of those two amounts plus £0.50 (converted into the currency of the payment). BlinkFix buys the goods from you at the Agreed Rate and sells them on to the establishment. For each order BlinkFix pays you the Agreed Rate less BlinkFix's commission of 4% of it (the "Payable"); the commission is never taken on the delivery line or the service fee. The difference between the price the establishment pays and the Agreed Rate, and the service fee, are BlinkFix's. For printed table codes BlinkFix pays you the order total on the print rate card and takes no commission. The delivery line belongs to the delivery company that carries the order.
16.7 Invoices and payment. After you ship or deliver an order, add your invoice for the Payable in the app. BlinkFix pays the Payable within 30 days after it receives your invoice, and invoices you for its commission, marked paid because it is kept from what BlinkFix pays you. You are responsible for VAT and other taxes on your sales to BlinkFix.
16.8 Cancelled and problem orders. If you cannot make an order, BlinkFix refunds the establishment in full, including its share of the service fee, and you are paid nothing for it. If no delivery company could take an order and you ship it yourself, BlinkFix returns the delivery line to the establishment. If an order arrives wrong, damaged, late or not as described, BlinkFix decides on the evidence it holds and tells you the outcome and the reason; if BlinkFix refunds the establishment, it may reduce your Payable for that order by the amount refunded, and take it from your later payments if it has already paid you. A chargeback on the establishment's payment is treated as a refund.
16.9 Data. BlinkFix is the controller of orders and their delivery details. You receive an establishment's contact name, delivery address and phone number only to deliver that order, as a separate controller, and may use them for nothing else. For your own staff's data in the Supplier portal, BlinkFix is your processor under the DPA.
16.10 Changes and ending. BlinkFix may change its commission with at least 30 days' notice; if you do not agree, you may end these terms before the change applies, and a change never applies to an order already paid. You may end these terms at any time, after finishing orders in progress; BlinkFix may end them as in section 10. What you are owed for orders already made is paid as usual, less what you owe BlinkFix. Ending these terms does not cancel a plan bought in a store; cancel it there.
16.11 Liability. Section 13 applies, and you will compensate BlinkFix for claims, fines and reasonable costs arising from your goods or from your acts or omissions, including claims by establishments or their customers, to the extent the law allows.
