# Channel Partner Terms

Last updated 2026-10-23 · Version 2026-10-23

The agreement between BlinkFix and the people and companies who bring clients onto BlinkFix and earn a running share.

The short version

  • BlinkFix invites you. You are an independent business.
  • You earn a share of BlinkFix's net income from the Clients you sign.
  • Each month's share is held 14 days after the month's last payment, then paid into your wallet. A paid share is never taken back.
  • If this agreement ends, shares not yet paid into your wallet are forfeited.
  • You see only your own Clients.

1. The parties and acceptance

1.1 This agreement is between BlinkFix Ltd, registered in England and Wales (company no. 13505930), registered office 27 Old Gloucester Street, London WC1N 3AX, United Kingdom ("BlinkFix"), and the person or company BlinkFix invites into its channel partner programme (the "Partner", "you").

1.2 Invitation only. BlinkFix e-mails a one-time link that works for 7 days. You accept by tapping "Accept" in a BlinkFix app or on blinkfix.me or enterprise.blinkfix.me. We record the version, date and time. That record is your electronic signature, intended to be valid under UK, EU, US (ESIGN Act) and UAE law. You confirm that you are 18 or older, act for your business and not as a consumer, and can bind any company you act for.

1.3 This agreement applies with the Terms of Service, Community Guidelines and Privacy Policy, and comes first for the programme. English is binding.

1.4 Words we use. A Client is an establishment (any food business or shop on BlinkFix), an Enterprise brand, or a delivery company (including a driver on their own) that signed up with your Referral Code (your 8-character code, link and QR code) or that BlinkFix assigned to you. Your Own List is contacts you gather yourself from your own lawful sources. The End Date is the day this agreement ends.

2. What BlinkFix provides

2.1 A Referral Code and a panel (BlinkFix Enterprise app, enterprise.blinkfix.me) showing your Clients, team and Statements. You may e-mail your link to one person at a time (10 an hour, 30 a day) and message your Clients, who may block you.

2.2 BlinkFix charges nothing to take part and promises no income. It is not exclusive: BlinkFix may sign Clients directly (you earn nothing from them) and may refuse any Client. BlinkFix alone places partners in its three levels (Country, Regional, Town). Nobody is paid for recruiting a partner.

3. The money

3.1 What you earn. A percentage of BlinkFix's Net Income from your Clients, for each month you are an active partner. Three streams count: (a) subscriptions; (b) BlinkFix's fees and commission on their orders; (c) BlinkFix's own 10% of the delivery price on deliveries by delivery companies you signed. Nothing else counts, such as AI credits. A sign-up alone earns nothing.

3.2 Net Income for a month is what BlinkFix invoiced or was paid by your Clients, without VAT or sales tax, less what Apple, Google or Stripe kept (counted as 15%, 15% and 2%), after refunds and credit notes. Test purchases do not count.

3.3 Tiers. The tier follows the establishments signed by the whole team under your Country partner. At the date of this agreement the tiers are:

TierReached atYour share
SilverEntry2.5%
Gold10,000 establishments5%
Platinum30,000 establishments10%
DiamondGiven by BlinkFix10%, plus any share of advertising clicks and tip fees (at most 20% of that income) that BlinkFix writes to you

With no new Client from your team for 90 days, Platinum and Gold drop one tier until it signs one. If you are a Regional or Town partner, you receive a share of what the partner above you receives from your Clients: normally 50%, as BlinkFix sets it for you. Amounts round down.

3.4 Counting Clients. One partner per Client. A Client counts from the first day of the month it signed up with your code, or of the next month if BlinkFix assigned it. A wrong code, or your own code on your own business, earns nothing.

3.5 Statements and the Safety Period. After each month BlinkFix writes one Statement per currency, once. A month's share is held for 14 days after that month's last payment (the "Safety Period"), then paid into your BlinkFix wallet (your "Wallet").

(a) A payment refunded, credited, charged back or found fraudulent inside 14 days of being made pays you nothing.

(b) If a payment is still under dispute (such as a card chargeback) when the 14 days end, your share on it waits until the dispute closes. If BlinkFix wins, you are paid then, even after 14 days. If BlinkFix loses, you are not paid on it.

(c) After the Safety Period your share is final and never taken back, whatever happens later. Return money paid to you by mistake within 10 days.

3.6 Paying out and currency. You can send your unpaid partner share from your Wallet to a payout account in your own name, through Stripe, one currency at a time (minimum 1.00, one payout per currency a day). A Statement is in the currency the income was earned in, and BlinkFix does not convert it. A fixed pound amount in a fee (the £0.50 in the service fee) is converted into the buyer's currency at checkout, and your share is worked out on the amount charged. Stripe or your bank may convert a payout and charge fees.

3.7 Self-billing and tax. BlinkFix issues each Statement with a share to pay as your invoice to BlinkFix, in your name, with a number and date. You will not invoice the same amount yourself. Keep your legal name, address and VAT number (if registered) true in the panel. If you are VAT-registered in the UK, BlinkFix adds UK VAT on top of your share and pays the invoice total. If you are registered elsewhere, the invoice carries a reverse-charge note. You alone handle your own taxes.

3.8 Changes. BlinkFix may change percentages, thresholds and deductions, with 30 days' notice of a change that lowers what you earn. A change never alters a month already worked out.

4. Your duties

4.1 Independence. You are an independent contractor, at your own cost and risk, and handle your own tax, social security and insurance. You cannot bind BlinkFix or collect money for it. You are a referrer only, not a commercial agent, distributor or representative, and shall not register or describe yourself as one under UAE Federal Law No. 3 of 2022 Regulating Commercial Agencies or any other agency law.

4.2 Honest and lawful work. Obey the law. Promise nothing about BlinkFix's prices, features or earnings that BlinkFix has not given you in writing. Comply with the UK Bribery Act 2010, the US Foreign Corrupt Practices Act and local anti-corruption law, and give no Client money or gifts for signing up. Do not sign up a business that you or someone close to you owns, or use fake or duplicate accounts. Such a Client earns you nothing.

4.3 Never take BlinkFix's property. Under no condition, alone or through anyone else, may you divert or solicit a Client or lead away from BlinkFix; take, copy or keep BlinkFix information or money; ask a Client for any payment connected with BlinkFix; reuse another person's code; or interfere with BlinkFix's relationship with a Client. A breach cannot be fixed.

4.4 Own List and outreach. You control your Own List and need your own lawful basis for every message to people on it, which you decide, record and prove. A company's general address may rest on legitimate interest, while individuals and sole traders usually need consent (UK PECR, national e-privacy laws, US CAN-SPAM, the UAE data protection law). Say you are an independent BlinkFix partner, stop when asked, and send no bulk or misleading messages. When you e-mail your link from the panel, you confirm you may lawfully contact that person.

4.5 Records, audit, fraud. Keep records of your programme work for 6 years. On 5 business days' notice (none if fraud is suspected), BlinkFix or its auditor may check your compliance on programme matters. If that finds a breach, you pay the reasonable audit cost. Tell [email protected] within 48 hours of any fraud, misuse of a code or breach by anyone.

4.6 Confidentiality and names. Keep BlinkFix's non-public information confidential for 5 years after the End Date (without limit for personal data and trade secrets). Say you are a BlinkFix channel partner only while you are one, and register no trade mark, domain or social media name that includes "BlinkFix".

5. Data and privacy

5.1 BlinkFix is the controller of your personal data, as the Privacy Policy explains. Anyone who uses your code or link sees "Invited by" and your name, and you agree to that.

5.2 You see only your own Clients. The panel shows each Client's name and, for a brand, its number of establishments, never orders, customers or private data. You never see BlinkFix's other clients, leads or customers, or another partner's Clients, earnings or Statements. BlinkFix gives you no lists of businesses, people, addresses, phones or e-mails. If you try to sign a business that is already a client, BlinkFix says only that.

5.3 You use Client information only for this agreement, as an independent controller, and obey the data protection laws that apply to you (UK and EU GDPR, US state privacy laws, UAE data protection law). Where a transfer mechanism is needed, the standard clauses BlinkFix names apply. Tell us within 24 hours of any loss of data.

5.4 You do not process personal data for BlinkFix, so the Data Processing Agreement, which covers Enterprise customers' data, does not apply between us. If that changes, we sign one first.

6. Term, leaving and forfeiture

6.1 This agreement starts when you accept it and runs until the End Date. You may leave at any time with Leave in the panel, by deleting your BlinkFix account or by e-mailing [email protected]. BlinkFix may end it on 30 days' notice, or at once for cause: a breach of section 4 (which ends it automatically), fraud, another breach not fixed within 10 days of notice, insolvency, disrepute, a legal requirement, or your ceasing to be an independent business. A partnership is either active or ended; it is never paused.

6.2 Forfeiture. A partner who leaves is no longer paid. From the End Date, whoever ends this agreement and why, nothing accrues, and every share not yet paid into your Wallet is forfeited, whether or not a Statement was written, including the month of the End Date and anything still held under 3.5. You waive any claim to it as far as the law allows. What is already in your Wallet is yours to pay out.

6.3 12-month non-compete. For 12 months after the End Date, you shall not contact any Client you signed or dealt with through the programme, to offer it a service that competes with BlinkFix or to move it away from BlinkFix. It does not stop you working in the industry.

6.4 After the End Date. Your code and panel access stop. Delete BlinkFix information within 10 days and confirm in writing. The Clients stay BlinkFix's. You keep your Own List, but 4.3 and 6.3 still apply to it.

6.5 Recovery. If you take, divert or use BlinkFix's property in breach, BlinkFix may recover its value, your profit, its reasonable costs and interest, and set these off against anything it owes you. This is a genuine measure of loss, not a penalty, with no double recovery. BlinkFix may also seek an injunction without proving loss. It never reaches a share that was final under 3.5(c), unless paid by mistake. Sections 3.5(c), 4.3 to 4.6, 5, 6.2 to 6.5, 7 and 8 survive the End Date.

7. Liability

7.1 Nothing limits liability for death or personal injury caused by negligence, for fraud, or for anything the law does not let a party limit.

7.2 Subject to 7.1, BlinkFix's liability to you under or in connection with this agreement is limited to paying the share due to you under it, and BlinkFix is not liable for loss of profit, business or goodwill or for indirect loss. The programme is provided as it is.

7.3 You shall indemnify BlinkFix against losses, fines, claims and reasonable legal costs from your breach of this agreement or the law, or your Own List and outreach.

8. Governing law and courts

8.1 This agreement and any dispute arising from it (including non-contractual ones) are governed by the law of England and Wales. The courts of England and Wales have exclusive jurisdiction, wherever you are. Either party may ask any court to enforce an English judgment or grant urgent relief. There is no arbitration and no class-action term. If you are outside England and Wales, name an agent there for court papers when asked; until then, papers may be served by e-mail.

8.2 If a mandatory law of your country gives you a right that a contract cannot remove, it applies only as far as the law requires. The rest stays in force.

8.3 The same law and courts apply to partners in the European Union and the European Economic Area, the United Arab Emirates and the United States.

9. Changes, notices and general terms

9.1 Changes. BlinkFix may change this agreement. We give at least 30 days' notice of a change that affects you, by e-mail and in the app, unless the law needs it sooner, and ask you to accept the new version when it takes effect. If you do not agree, you may leave under 6.1 before then. A typo or similar non-material change may take effect at once.

9.2 Notices and complaints. Notices are by e-mail: to BlinkFix at [email protected], to you at your BlinkFix account address, which you keep current. Send complaints with the subject "Partner complaint"; we reply within 5 working days.

9.3 If part of this agreement is invalid, it is cut back or removed and the rest stays in force. A delay in enforcing a right is not a waiver. This agreement and the documents in 1.3 are the whole agreement. You may not assign it; BlinkFix may, to a group company or a buyer of its business.
